Terms of Service

These Terms of Service ("Terms") govern access to and use of ScaleRegistry, including the free public directory at scaleregistry.com and the subscription platform at app.scaleregistry.com (together, the "Service"), provided by Scale Registry LLC, a limited liability company ("Scale Registry," "Company," "we," "us," or "our").
By creating an account, subscribing to a paid plan, or otherwise accessing or using the Service, you ("Customer" or "you") agree to be bound by these Terms. If you accept these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
1. Acceptance of Terms
Use of the Service is conditioned on acceptance of these Terms and, where applicable, our Privacy Policy and Refund Policy (each incorporated by reference). If you do not agree, do not access or use the Service.
2. Description of Service
ScaleRegistry is a business-to-business software platform operating two properties:
- scaleregistry.com — a free, public national directory of commercial weighing companies, brands, and instrumentation, including business listings, NTEP licensing records, and verification status.
- app.scaleregistry.com — a subscription platform (the "Platform") through which scale owners, service and calibration companies, dealers, and manufacturers can register scales, capture service and calibration evidence, generate verifiable digital certificates, track compliance status, publish product and catalog information, and access related workspace tools.
Scale Registry is a registry and transparency platform. It is not a government agency, testing laboratory, or regulatory authority, and does not certify, approve, license, or guarantee that any scale, business, or practice complies with any law or regulation. See Section 11 (Disclaimers).
3. Accounts & Eligibility
- The Service is intended for business use (B2B) and is not directed to individual consumers.
- You must be an authorized representative of the business you register, and at least 18 years old.
- Accounts are accessed via passwordless, magic-link email authentication. You are responsible for maintaining control of the email address(es) associated with your account and for all activity under your account.
- You agree to provide accurate, current, and complete information when registering a business, scale, or user, and to keep that information up to date.
- We may suspend or refuse an account that we reasonably believe is fraudulent, impersonating another business, or otherwise ineligible.
4. Subscriptions & Billing
4.1 Plans
The public directory is, and will remain, free. Paid subscriptions unlock the Platform's workspace, compliance, and catalog tools. Current plans (subject to change per Section 4.3):

Annual billing reflects a discount of approximately two months free versus monthly billing. Current pricing and feature entitlements are posted on our pricing page and may be updated as described below.
4.2 Auto-Renewal
Subscriptions automatically renew at the end of each billing period (monthly or annual) at the then-current rate for your plan, using your payment method on file, unless you cancel before the renewal date. We will send renewal reminders and receipts to the email address on file.
4.3 Price Changes
We may change subscription prices or plan features from time to time. We will provide advance notice of any price increase affecting an existing subscription before it takes effect on your next renewal. Continued use of the Service after a price change becomes effective constitutes acceptance of the new price.
4.4 Plan Changes
Upgrades take effect immediately, with a prorated charge for the remainder of the current billing period. Downgrades take effect at the start of the next billing period (no partial-period refunds for downgrades; see Refund Policy). If a downgrade would put your account over the new plan's limits, existing records above the cap may become read-only until you are back under the limit or upgrade again.
4.5 Taxes
Subscription fees are exclusive of applicable taxes. You are responsible for any sales, use, or similar transaction taxes associated with your subscription. Where required by law, Scale Registry may calculate, collect, and remit applicable sales tax as a separate line item on your invoice.
5. Payment Terms
- Card and ACH bank payments are captured and processed through a third-party, PCI-compliant payment gateway. Scale Registry does not store full credit/debit card numbers or bank account numbers on its own servers — only a tokenized reference to your payment method, along with limited display details (such as card brand and last four digits) needed for your account and receipts.
- Merchant payment services are provided through First American Merchant Solutions. Scale Registry is the merchant of record for subscription charges made through the Service.
- Accepted payment methods: major credit/debit cards and ACH bank transfer.
- If a payment fails, we may retry the charge and will notify you by email. Continued payment failure may result in suspension of Platform (workspace) access until payment is resolved. Suspension for non-payment does not, by itself, remove factual public directory information about a business (see Section 10, Vendor Neutrality).
6. 30-Day Money-Back Guarantee & Cancellation
Subscriptions are covered by our 30-day money-back guarantee, and may be canceled at any time, with no cancellation fees. Full details, including how refunds are requested and how cancellation interacts with your current billing period, are set out in our Refund Policy, which is incorporated into these Terms by reference. In summary:
- Refunds are available only within the first 30 days of the applicable charge.
- Canceling stops future renewals; your access continues through the end of the period you've already paid for.
- Enterprise plans may carry custom refund/cancellation terms under a separate order form or agreement.
7. Acceptable Use
You agree not to:
- Submit false, fraudulent, or intentionally misleading business, scale, service, or calibration records;
- Attempt to circumvent security, authentication, or access controls;
- Scrape, bulk-extract, or systematically harvest data from the Service beyond normal use or a documented API, without authorization;
- Reverse engineer, decompile, or attempt to derive source code from the Platform, except as permitted by law;
- Use the Service to violate any applicable law or third party's rights;
- Impersonate another business, individual, or brand, or misrepresent an affiliation;
- Upload malicious code or interfere with the integrity or performance of the Service;
- Attempt to manipulate registry data, verification status, or dispatch/routing outcomes to unfairly advantage or disadvantage a competitor; or
- Resell or provide unauthorized third-party access to the Service.
We may investigate and take action — including content removal, suspension, or termination — for violations of this section.
8. Customer Data & Content Ownership
- As between you and Scale Registry, you retain ownership of the business, scale, service, and calibration records and other content you submit to the Service ("Customer Data").
- You grant Scale Registry a license to host, process, transmit, and display Customer Data as necessary to operate and provide the Service — including generating public directory listings, verifiable certificates, and compliance scoring for records you choose to make public.
- We may use aggregated or de-identified data (not attributable to a specific business without its consent) for analytics, platform improvement, and industry benchmarking.
- Data export and deletion on termination are addressed in our Privacy Policy.
9. Intellectual Property
Scale Registry retains all right, title, and interest in and to the Service, including its software, design, workflows, and the ScaleRegistry name, logo, and other trademarks. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service during your subscription term for your internal business purposes. If you provide feedback or suggestions, we may use them without obligation to you.
10. Vendor Neutrality
ScaleRegistry does not rank, prioritize, or favor any manufacturer, dealer, service provider, or brand over another based on subscription tier or any commercial relationship. Directory placement, verification status, and service-dispatch routing are based on objective, published criteria (such as coverage area, qualifications, and verification status), not paid placement. A paid subscription unlocks platform features and workspace tools — it does not buy preferential treatment within the impartial registry itself.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing:
- Scale Registry is a registry, not a regulator. A directory listing, verification status, certificate, or compliance score on the Service is not a legal determination, certification, or guarantee that any scale, business, or practice complies with any federal, state, or local law, including NTEP requirements or state Weights & Measures rules. Customers remain solely responsible for their own regulatory compliance.
- We use reasonable efforts to maintain accurate records (see our Verification Policy) but do not warrant the accuracy, completeness, or currency of data submitted by businesses, manufacturers, or other third parties.
- We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.
12. Limitation of Liability
To the maximum extent permitted by law, Scale Registry and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service, even if advised of the possibility of such damages. Our aggregate liability arising out of or relating to these Terms or the Service will not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless Scale Registry from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your Customer Data; (c) your violation of these Terms; or (d) your violation of any law or third party's rights. Scale Registry will provide notice of any such claim and reasonable cooperation, at your expense.
14. Term & Termination
- These Terms remain in effect while you maintain an account or active subscription.
- You may cancel at any time as described in Section 6 and our Refund Policy.
- We may suspend or terminate your access for breach of these Terms, non-payment, unlawful use, or conduct that poses a risk to the Service or other users, with notice where practicable.
- We may also discontinue or materially modify the Service with reasonable advance notice.
- Upon termination, your right to use the Platform ends (subject to any period already paid for); provisions that by their nature should survive (including Sections 8–13 and 16–18) will survive termination.
15. Modifications to Terms
We may update these Terms from time to time. We will provide notice of material changes (for example, by email or an in-Platform notice) before they take effect. Continued use of the Service after the effective date of an update constitutes acceptance of the revised Terms.
16. Governing Law
These Terms are governed by the laws of the U.S. state in which Scale Registry LLC is organized (to be specified in the counsel-reviewed revision), without regard to conflict-of-laws principles.
17. Dispute Resolution
Before filing any formal claim, the parties agree to attempt in good faith to resolve any dispute informally by contacting info@scaleregistry.com. The formal dispute-resolution mechanism (including venue and any arbitration provisions) will be specified in the counsel-reviewed revision of these Terms.
18. General Provisions
- Entire agreement. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Scale Registry regarding the Service, superseding prior agreements on the subject, except as modified by a signed Enterprise order form.
- Severability. If any provision is found unenforceable, the remaining provisions remain in full force.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without our prior written consent.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Notices. Notices to Scale Registry should be sent as described in Section 19.
